1.1A bill for an act
1.2relating to arts and cultural heritage; providing a process for community
1.3governance of the Minnesota Orchestra;proposing coding for new law as
1.4Minnesota Statutes, chapter 129E.
1.5BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF MINNESOTA:

1.6    Section 1. [129E.01] LEGISLATIVE FINDING; ORCHESTRA.
1.7The legislature determines that:
1.8(1) having a world-renowned orchestra is an important asset to the state of
1.9Minnesota and ensuring that such a highly acclaimed orchestra is present in Minnesota
1.10is an important public purpose;
1.11(2) providing broad-based community governance of an orchestra develops trust
1.12among patrons, taxpayers, and the orchestra's musicians and other staff and helps ensure
1.13this important asset will retain its high level of accomplishment and renown; and
1.14(3) enacting legislation providing for community governance indicates to musicians
1.15continuing support for a world-renowned orchestra in Minnesota.

1.16    Sec. 2. [129E.02] GOVERNANCE; MINNESOTA ORCHESTRA.
1.17The Minnesota Orchestra is encouraged to restructure its governance to create a
1.18membership-based governance structure. Under this governance structure:
1.19(1) any person paying the annual dues specified in the governing documents of the
1.20association would be entitled to elect the board of directors of the association;
1.21(2) the bylaws of the association would include specific duties for the board and the
1.22officers and would specify conditions under which the board or officers could be removed
1.23by the membership; and
2.1(3) governance decisions not reserved for the board of directors would be voted on
2.2by the membership, with each dues-paying member entitled to one vote on these issues.

2.3    Sec. 3. EFFECTIVE DATE.
2.4Sections 1 and 2 are effective the day following final enactment.
