AN ACT CONCERNING THE ESTABLISHMENT OF SOCIAL ENTERPRISE BUSINESSES.

Be it enacted by the Senate and House of Representatives in General Assembly convened:

That chapter 613 of the general statutes be amended to establish a social enterprise business as a class of limited liability company that (1) has as one of its purposes the creation of a general public benefit that produces a material positive impact on society and the environment, (2) must prepare an annual benefit report concerning its pursuit of a public benefit, and (3) provides that the duties of its members, the production of the annual benefit report, and the pursuit of a general public benefit may be enforced exclusively through a benefit enforcement proceeding.

Statement of Purpose:

To provide for the establishment of social enterprise businesses in the state.
