        AN  ACT  to amend the business corporation law and the limited liability
          company law, in relation to the incorporation  of  certain  businesses
          for the purpose of practicing professional geology
          The  People of the State of New York, represented in Senate and Assem-
        bly, do enact as follows:
     1    Section 1. The opening paragraph of subparagraph 1 of paragraph  (b-6)
     2  of section 1503 of the business corporation law, as added by chapter 260
     3  of the laws of 2016, is amended to read as follows:
     4    Prior to the first day of March, two thousand [eighteen] nineteen, the
     5  state  education  department  and the department of state shall allow an
     6  existing business corporation organized under article four of this chap-
     7  ter to become a professional service  corporation  as  defined  in  this
     8  article  for  the  purpose  of practicing professional geology, provided
     9  that the surviving corporation meet all of the requirements to become  a
    10  professional  service  corporation, including that the name of a profes-
    11  sional service corporation shall end with the words "professional corpo-
    12  ration" or the abbreviation "P.C." by amending its certificate of incor-
    13  poration so that it contains the following:
    14    § 2. The opening paragraph of subparagraph 1  of  paragraph  (b-7)  of
    15  section 1503 of the business corporation law, as added by chapter 260 of
    16  the laws of 2016, is amended to read as follows:
    17    Prior to the first day of March, two thousand [eighteen] nineteen, the
    18  state  education  department  and the department of state shall allow an
    19  existing business corporation organized under article four of this chap-
    20  ter to become a design professional service corporation  as  defined  in
    21  this  article  for  the  purpose  of  practicing  professional  geology,
    22  provided that the surviving corporation meet all of the requirements  to
    23  become  a  design  professional  service corporation, including that the
    24  name shall end with the words "design professional service  corporation"
         EXPLANATION--Matter in italics (underscored) is new; matter in brackets
                              [ ] is old law to be omitted.

     1  or  the  abbreviation  "D.P.C."  by amending its certificate of incorpo-
     2  ration so that it contains the following:
     3    §  3.  The opening paragraph of subdivision (a) of section 1105 of the
     4  limited liability company law, as added by chapter 260 of  the  laws  of
     5  2016, is amended to read as follows:
     6    Prior to the first day of March, two thousand [eighteen] nineteen, the
     7  state  education  department  and the department of state shall allow an
     8  existing limited liability company organized under article two  of  this
     9  chapter  to  become  a professional service limited liability company as
    10  defined in article twelve of this chapter for the purpose of  practicing
    11  professional geology, provided the limited liability company meet all of
    12  the  requirements  to  become  a  professional service limited liability
    13  company, including that the  name  of  a  professional  service  limited
    14  liability company shall end with the words "Professional Limited Liabil-
    15  ity  Company"  or  "Limited  Liability  Company",  or  the abbreviations
    16  "P.L.L.C.", "PLLC", "L.L.C.", or  "LLC"  by  amending  its  articles  of
    17  organization so that it contains the following:
    18    §  4.  This  act  shall take effect immediately and shall be deemed to
    19  have been in full force and effect on and after March 1, 2018.
