House Bill 1328
AN ACT TO AMEND SECTION 79-29-1203, MISSISSIPPI CODE OF 1972, TO REVISE FEES FOR LIMITED LIABILITY COMPANIES; AND FOR RELATED PURPOSES.
BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF MISSISSIPPI:
SECTION 1. Section 79-29-1203, Mississippi Code of 1972, is amended as follows:
79-29-1203. The Secretary of State shall charge and collect a fee for:
(a) Filing of Reservation of Limited Liability Company Name, Fifty Dollars ($50.00).
(b) Filing of Change of Address of Registered Agent, Fifty Dollars ($50.00).
(c) Filing of Resignation of Registered Agent, Thirty Dollars ($30.00).
(d) Filing of Certificate of Formation, Seventy-five Dollars ($75.00).
(e) Filing of Amendment to Certificate of Formation, Seventy-five Dollars ($75.00).
(f) Filing of Certificate of Dissolution, Fifty Dollars ($50.00).
(g) Filing of Certificate of Cancellation, Fifty Dollars ($50.00).
(h) Filing of Restated Certificate of Formation or Amended and Restated Certificate of Formation, Fifty Dollars ($50.00).
(i) Filing of Certificate of Withdrawal, Fifty Dollars ($50.00).
(j) Filing of Application for Registration of Foreign Limited Liability Company, Three Hundred Fifty Dollars ($350.00).
(k) Filing of Certificate Correcting Application for Registration of Foreign Limited Liability Company, One Hundred Fifty Dollars ($150.00).
(l) Filing of Certificate of Cancellation of Registration of Foreign Limited Liability Company, One Hundred Twenty-five Dollars ($125.00).
(m) Any other document required or permitted to be filed under this chapter, Fifty Dollars ($50.00).
SECTION 2. This act shall take effect and be in force from and after July 1, 2010.
