HOUSE BILL NO. 18

AN ACT TO AMEND TITLE 6 OF THE DELAWARE CODE RELATING TO THE SAFE DESTRUCTION OF RECORDS CONTAINING PERSONAL IDENTIFYING INFORMATION.


BE IT ENACTED BY THE GENERAL ASSEMBLY OF THE STATE OF DELAWARE:


Section 1. Amend §5001C, Title 6 of the Delaware Code by making deletions as shown by strike through and insertions as shown by underline as follows:

§5001C. Definitions.

For purposes of this chapter:

(1) "Commercial entity" means a corporation, business trust, estate, trust, partnership, limited partnership, limited liability partnership, limited liability company, association, organization, joint venture, or other legal entity, whether or not for profit, that transacts business in this State. For the purposes of this paragraph, "transacts business in this State" means the course or practice of carrying on any business activity in this State and includes the solicitation of business or orders in this State.


SYNOPSIS

This Act clarifies that Chapter 50C, Title 6 of the Delaware Code, relating to the safe destruction of records containing personal identifying information, applies only to commercial entities that transact business in this State. Additionally, the Act defines "transacts business in this State", giving it the same meaning as it has in several other contexts under Delaware law, including as it is defined for purposes of the service of process on nonqualifying foreign corporations provision of the Delaware General Corporation Law, §382 of Title 8.
