SENATE JOINT RESOLUTION L

A joint resolution proposing an amendment to the state constitution of 1963, by adding section 55 to article IV, to limit the power of certain entities to make political expenditures.

Resolved by the Senate and House of Representatives of the state of Michigan, That the following amendment to the state constitution of 1963, to limit the power of certain entities to make political expenditures, is proposed, agreed to, and submitted to the people of the state:

ARTICLE IV

Sec. 55. (1) Except as otherwise provided in subsection (3), a domestic entity shall not have any power to pay, contribute, or expend money or anything of value in support of, or in opposition to, a candidate, political party, political committee, or ballot question. Any power previously granted before the effective date of this section to a domestic entity under the laws of this state to perform an act described in this subsection is revoked. The performance of an act described in this subsection by a domestic entity is invalid and subject to disgorgement.

(2) Except as otherwise provided in subsection (3), a foreign entity shall not have any power, privilege, or right to pay, contribute, or expend money or anything of value in support of, or in opposition to, a candidate, political party, political committee, or ballot question in this state. Any power, privilege, or right previously granted before the effective date of this section to a foreign entity under the laws of this state to perform an act described in this subsection is revoked. The performance of an act described in this subsection by a foreign entity is invalid and subject to disgorgement.

(3) Subsections (1) and (2) do not apply to either of the following:

(a) An existing contract, debt instrument, security, or other legal obligation validly entered into before the effective date of this section.

(b) A bona fide news story, commentary, or editorial distributed through the facilities of a broadcasting station or of any print, online, or digital newspaper, magazine, blog, or other periodical publication, unless the broadcasting, print, online, or digital facility is owned or controlled by a candidate, political party, or political committee.

(4) A domestic entity that performs an act described in subsection (1) is subject to dissolution as provided in subsection (5). A foreign entity that performs an act described in subsection (2) is subject to revocation of the foreign entity's authority to transact business in this state as provided in subsection (6).

(5) The attorney general or a state officer authorized by law may bring an action for any of the following:

(a) A declaration that the performance of an act is invalid under subsection (1) or (2).

(b) An order of disgorgement under subsection (1) or (2).

(c) An injunction against the performance of an act under subsection (1) or (2).

(d) An order of dissolution of a domestic entity under subsection (4).

(6) The attorney general or a state officer authorized by law may revoke the certificate of authority of a foreign entity under subsection (4).

(7) As used in this section:

(a) "Domestic entity" means an entity formed under the laws of this state.

(b) "Entity" means a corporation, nonprofit corporation, or limited liability company. Entity does not include a political committee.

(c) "Foreign entity" means an entity formed under laws other than the laws of this state that is authorized to transact business in this state.

(d) "Political committee" means a committee that is registered in accordance with the laws of this state or federal law for the purpose of acting in support of, or in opposition to, a candidate, political party, political committee, or ballot question.

Resolved further, That the foregoing amendment shall be submitted to the people of the state at the next general election in the manner provided by law.
