DELAWARE STATE SENATE

149th GENERAL ASSEMBLY

SENATE BILL NO. 261

AN ACT DIRECTING THE BOARD OF DIRECTORS OF THE RIVERFRONT DEVELOPMENT CORPORATION TO AMEND THE MEMBERSHIP AND MEMBER TERMS OF THE BOARD CONTAINED IN ARTICLE I, SECTION 1 OF THE CORPORATION’S BY-LAWS.

BE IT ENACTED BY THE GENERAL ASSEMBLY OF THE STATE OF DELAWARE (Two-thirds of all members elected to each house thereof concurring therein):

Section 1. The General Assembly directs the Board of Directors of the Riverfront Development Corporation to amend the membership and member terms of the Board contained in Article I, Section 1 of the Corporation’s by-laws as follows:

(1) Increase the maximum membership of the Board to 21 members and provide for all of the following:

a. That the 3 additional members of the Board are to be elected by the Board.

b. That the 3 additional members of the Board are to serve at the pleasure of the Board.

(2) Provide that members of the Board who do not serve by virtue of holding an elective position are to be governed by the following provisions:

a. Members are to be appointed for a term not to exceed 4 years.

b. Members may not serve for more than 8 consecutive years.

c. Members who serve for 8 consecutive years may be reappointed to the Board after a 1 year hiatus.

d. Notwithstanding the term provided for by this Act, members are to serve at the pleasure of the appointing authority.

(3) Provide that the President Pro Tempore of the Senate and the Speaker of the House of Representatives may appoint a designee.

SYNOPSIS

This Act directs the Board of Directors of the Riverfront Development Corporation to amend the membership and member terms of the Board of Directors contained in Article I, Section 1 of the Corporation's by-laws.
