Summary

This Bill amends the Delaware Securities Act to clarify that the Act’s anti-fraud provision should be interpreted in accordance with how federal courts interpret similar anti-fraud provisions in federal securities laws. The Bill also changes the name of the Securities Division and the Securities Commissioner to the Investor Protection Unit and Investor Protection Director, respectively. The Bill provides greater flexibility with respect to the Director’s ability to delegate responsibilities to a hearing officer, and makes a number of additional technical changes to the Act.
